1. Definitions

• "Services" refers to all IT services provided by Ravi
• "Client" or "You" refers to the individual or entity using our services
• "Website" refers to theravi.shop and all associated domains
• "Agreement" refers to these Terms and Conditions

2. Services Provided by Ravi

Ravi provides the following IT services:

• Web development and design
• Cloud solutions and migration
• Cybersecurity services
• Mobile application development
• Data analytics and business intelligence
• AI and machine learning solutions
• IT consulting and support

3. Service Agreement and Scope

Project Scope

All projects undertaken by Ravi will be governed by:

• Detailed project proposal and scope document
• Written agreement signed by both parties
• Clearly defined deliverables and timelines
• Specified payment terms and milestones

Changes to Scope

Any changes to the agreed project scope must be:

• Requested in writing
• Approved by Ravi management
• Subject to additional costs and timeline adjustments
• Documented in a change order

4. Payment Terms

Payment Schedule

Ravi follows the following payment structure:

• Projects under ₹50,000: 50% advance, 50% on completion
• Projects ₹50,000 - ₹2,00,000: 40% advance, 30% at milestone, 30% on completion
• Projects above ₹2,00,000: Custom payment schedule
• Monthly retainers: Payment in advance

Late Payments

Late payments may result in:

• Project work suspension
• Late payment fees of 2% per month
• Legal action for recovery
• Termination of ongoing services

5. Intellectual Property

Client Ownership

Upon full payment, clients own:

• Custom code developed specifically for their project
• Content and data provided by the client
• Final deliverables as specified in the agreement

Ravi's Rights

Ravi retains rights to:

• General methodologies and processes
• Pre-existing intellectual property
• Third-party software and tools
• Portfolio usage rights for marketing

6. Confidentiality

Ravi commits to:

• Maintaining strict confidentiality of client information
• Not disclosing sensitive business data
• Implementing appropriate security measures
• Requiring confidentiality agreements from all team members

7. Warranties and Disclaimers

Service Warranty

Ravi warrants that:

• Services will be performed with professional skill
• Work will conform to agreed specifications
• We will fix defects reported within 30 days of delivery
• Services comply with applicable industry standards

Disclaimer

Ravi disclaims warranties for:

• Third-party software or services
• Issues caused by client modifications
• Problems arising from inadequate hosting
• Damages from force majeure events

8. Limitation of Liability

Ravi's liability is limited to:

• The total amount paid for the specific service
• Direct damages only (no consequential damages)
• Issues directly caused by our negligence
• Claims made within one year of service completion

9. Termination

Termination by Client

Clients may terminate services with:

• 30 days written notice
• Payment for all work completed
• Delivery of completed work portions

Termination by Ravi

Ravi may terminate services for:

• Non-payment of invoices
• Breach of agreement terms
• Abusive or unprofessional behavior
• Illegal or unethical requests

10. Force Majeure

Ravi is not liable for delays or failures caused by:

• Natural disasters
• Government actions or regulations
• Internet or infrastructure failures
• Pandemics or health emergencies
• Other circumstances beyond our control

11. Governing Law

These terms are governed by:

• Laws of Karnataka, India
• Jurisdiction of Bangalore courts
• Indian Contract Act and IT Act
• Applicable consumer protection laws

12. Dispute Resolution

Disputes will be resolved through:

• Good faith negotiations
• Mediation if required
• Arbitration under Indian Arbitration Act
• Court proceedings as last resort

13. Modifications

Ravi reserves the right to modify these terms:

• With reasonable notice to existing clients
• Effective immediately for new clients
• Posted updates on our website
• Email notifications for significant changes
